Enovis acquires eCential Robotics for $180M

Medical technology firm Enovis Corp. announced a binding offer to acquire eCential Robotics for €155 million (over $180 million USD). eCential specializes in a modular surgical robotics platform designed for bone surgery.
This acquisition integrates robotic capabilities into Enovis’ existing ASTRA technology platform. Headquartered in Lewisville, Texas, Enovis describes ASTRA as a “constellation of technologies and services” for orthopedic procedures. The company states that incorporating automation will create a more robust ASTRA ecosystem.
“As market and customer demands evolve, it is evident that providing surgeons with flexibility across the enabling technology spectrum is critical,” said Damien McDonald, CEO and director of Enovis, during a conference call. “Enhancing our current platform with a robotic solution will accelerate our market position and expand our strategic options for future innovation in this sector.”
Enovis will pay €176 million ($204.3 million) to eCential Robotics’ shareholders upon closing, with an additional potential payout of up to €35 million ($40.6 million) in contingent consideration tied to specific milestones. The transaction is expected to close by the end of 2026.
eCential contributes modular surgical platform, intellectual property, and expertise
Based in Gières, France, eCential was established over 15 years ago, focusing on innovation in computer-assisted surgery and orthopedic robotics. The company has engineered a modular platform aimed at advancing the next generation of robotic-assisted surgical procedures.
Its technology has already been applied in spine and knee surgeries. Earlier this year, physicians at the Surgery Center of Hackensack began utilizing eCential’s systems to perform advanced robotic spine procedures within an ambulatory surgery setting.
“Our strategy at eCential Robotics has consistently focused on delivering easy-to-use, cutting-edge technology to streamline surgical workflows and ultimately improve patient outcomes,” said Clément Vidal, CEO of eCential Robotics. “Joining Enovis allows us to pursue a shared mission of enhancing operating room efficiency for surgeons and helping patients lead fuller, more active lives. I am genuinely excited about the opportunities we will unlock together.”
McDonald emphasized that the acquisition extends beyond simply purchasing a robot.
“We are accelerating our path to market by acquiring talent, intellectual property, and advanced capabilities, which provides strategic flexibility as we plan for future innovation horizons in Orthopedics,” he explained. “eCential also brings an exceptional team of over 50 employees with a strong track record of designing, developing, and launching three robotic platforms across orthopedics and spine.”
Enovis aims to launch a robotic system within two years
Enovis stated that eCential’s expertise in robotics engineering, software development, and surgical automation will strengthen its technology portfolio and add capabilities that speed up robotic innovation.
“We plan to bring the next-generation robot to market within two years, starting with knee procedures, where market requirements are well understood and eCential already possesses validated technology,” McDonald said. “We will subsequently expand into shoulder procedures.”
Targeting the shoulder segment aligns with Enovis’ strategic goals for several reasons. The company already holds a significant global market share in total shoulder arthroplasty (TSA), McDonald noted. He argued that current form factors and robotic offerings are “suboptimal.”
Enovis highlighted that eCential’s robotic arm, featuring seven degrees of freedom, will help differentiate its products in the marketplace.
McDonald also pointed out that eCential owns the robotic control layer of its technology. This ownership facilitates easier integration of the software into the ASTRA system.
