OpenAI has launched a fierce legal counterattack against its co-founder, Elon Musk, and his competing AI company, xAI. In a dramatic escalation of their ongoing feud, OpenAI accuses Musk of waging a "relentless" and "malicious" campaign to undermine the company he helped start.

According to court documents filed in the US District Court for the Northern District of California, OpenAI claims Musk has been trying to "take down OpenAI" ever since he left the organization years ago. They describe his actions as "bad-faith tactics" aimed at slowing down OpenAI's progress and seizing control of leading AI innovations for his own benefit.

The filing alleges that Musk couldn't handle OpenAI's success after he had "abandoned and declared [it] doomed." OpenAI is now seeking an injunction to halt Musk's alleged "unlawful and unfair actions" and is also demanding compensation for the damages they claim have already been inflicted.

The Story of OpenAI and Elon Musk's Departure

OpenAI's legal documents delve into the company's origins, which trace back to 2015 when current CEO Sam Altman and President Greg Brockman brainstormed the idea of creating an AI lab dedicated to developing artificial general intelligence (AGI) for the betterment of humanity. Musk was initially involved, serving on the non-profit board and promising a hefty $1 billion donation.

However, tensions arose between 2017 and 2018 when Musk reportedly demanded "absolute control" over OpenAI or suggested merging it with Tesla. These demands were rejected by Altman, Brockman, and then-Chief Scientist Ilya Sutskever, who warned Musk against creating an "AGI dictatorship." Following this fallout, Musk quit in February 2018, claiming OpenAI would fail without him and that he would pursue AGI at Tesla instead. Crucially, OpenAI alleges that Musk never fulfilled his $1 billion pledge.

OpenAI's Restructuring, Success, and Musk's Alleged 'Malicious' Campaign

Facing financial pressures, OpenAI restructured in 2019, establishing a "capped-profit" entity to attract investment while maintaining control by the non-profit board and adhering to its mission. Musk was offered equity in this new structure but declined without objection at the time.

Post-Musk, OpenAI achieved significant milestones with the development of GPT-3, ChatGPT, and GPT-4, which garnered widespread acclaim and adoption. The company alleges these successes fueled Musk's antagonism, leading to a series of actions aimed at harming OpenAI:

  • Founding xAI: Musk secretly launched his rival AI company, xAI, in March 2023.
  • Moratorium Call: Shortly after, Musk supported a call to pause AI development beyond GPT-4, which OpenAI believes was a move to hinder their progress while others, particularly Musk, caught up.
  • Records Demand: Musk allegedly requested confidential OpenAI documents under false pretenses while simultaneously developing xAI.
  • Public Attacks: Utilizing his social media platform X (formerly Twitter), Musk launched what OpenAI describes as "press attacks" and "malicious campaigns," branding OpenAI as a "lie," "evil," and a "total scam."
  • Legal Actions: Musk initiated lawsuits, first in state court (which he later withdrew) and then in federal court, alleging a breach of a so-called "Founding Agreement," claims OpenAI considers baseless.
  • Regulatory Pressure: Musk reportedly pushed state Attorneys General to investigate OpenAI and push for an asset auction.
  • "Sham Bid": In February 2025, a consortium led by Musk made a $97.375 billion offer for OpenAI, Inc.'s assets, which OpenAI dismisses as a "sham bid" and a "stunt" designed to disrupt their operations and relationships, especially as they consider transforming their capped-profit arm into a Public Benefit Corporation (PBC).

Based on these allegations, OpenAI has filed two primary counterclaims against Musk and xAI:

Unfair Competition

OpenAI alleges that the "sham bid" constitutes unfair and fraudulent business practices under California law, aimed at disrupting OpenAI and giving xAI an unfair advantage.

Tortious Interference with Prospective Economic Advantage

They claim the "sham bid" was a deliberate attempt to interfere with OpenAI's relationships with investors, employees, and customers.

OpenAI argues that Musk's actions have forced them to divert resources and incur costs, causing significant harm. They warn that his campaign threatens "irreparable harm" to their mission, governance, and crucial business relationships. The filing also raises concerns about xAI's safety record, citing instances of its AI, Grok, generating harmful content and misinformation.

This legal battle marks a significant escalation between OpenAI and its former co-founder. While Musk initially sued OpenAI, alleging a betrayal of its founding principles, OpenAI now contends that Musk's actions are a self-serving attempt to undermine a competitor he couldn't control.

With billions at stake and the future direction of AGI hanging in the balance, this dispute is far from resolved.
