OpenAI Reaffirms Nonprofit Roots in Major Corporate Overhaul

That perspective has shifted dramatically. “We now envision AGI as a tool to empower everyone, becoming the most powerful instrument in human history,” Altman proclaimed.
The ambition is bold: universal access to AGI could spark innovation, driving societal progress. While acknowledging potential misuse, Altman remains optimistic: “We believe in humanity’s potential, and the benefits will far outweigh any negatives.”

Central to the plan, OpenAI’s nonprofit will retain control. Following discussions with civic leaders and regulatory bodies in California and Delaware, Altman reaffirmed: “OpenAI was, is, and will remain a nonprofit overseeing its for-profit arm.”
The for-profit entity, previously an LLC, will transition into a Public Benefit Corporation (PBC), a structure that legally balances profit with societal impact, similar to companies like Patagonia or Anthropic.
This shift also involves abandoning the complex “capped-profit” model. Altman explained that a standard capital structure is more practical in today’s competitive AI landscape.
The nonprofit will hold significant shares in the PBC, channeling profits into initiatives that advance health, education, and science, while a dedicated commission will explore ways to make AI more inclusive.
Altman expressed confidence in the strategy, stating, “This positions us to advance safely and swiftly, delivering powerful AI to everyone.”
