OpenAI in Talks to Acquire Windsurf for $3B After Targeting Cursor Maker

When news broke about OpenAI's discussions to acquire AI coding firm WindSurf for a reported $3 billion, a natural question for observers was: "Why wouldn't they consider acquiring Anysphere, the creator of Cursor?”
The OpenAI Startup Fund has been an investor in Anysphere since its seed round in late 2023, backing the rapidly expanding coding assistant. (Anysphere is often recognized by its product name, Cursor.) According to a CNBC report, OpenAI did approach Anysphere about a potential acquisition in 2024 and again earlier this year, but the negotiations ultimately fell through. Instead, as Bloomberg recently indicated, Anysphere has been discussing a new funding round that would value the company at around $10 billion.
OpenAI's pivot to acquisition talks with another coding assistant developer underscores the strategic importance of securing a share of the code generation market. WindSurf is said to be generating roughly $40 million in annualized recurring revenue, according to a February report from TechCrunch. By comparison, Anysphere’s Cursor is reportedly earning approximately $200 million in ARR.
While OpenAI just released its own Codex CLI “agent,” capable of writing and editing code, its pursuit of WindSurf indicates the company isn’t content to wait for CLI to build customer momentum organically.
